Terms of Use

The agreement (EULA) that governs your use of Nikko.

Last updated: October 4, 2026

These Terms of Use (“Terms”) form a legal agreement between you and Nikoloz Nutsubidze, individual entrepreneur, Georgia (“Nikko,” “we,” “us,” or “our”) governing your use of the Nikko macOS application (the “App”) and any purchase of Nikko Pro. By downloading, installing, or using the App, you agree to these Terms. If you do not agree, do not use the App.

1. License

Subject to these Terms, we grant you a personal, non-exclusive, non-transferable, revocable license to install and use the App on Mac computers that you own or control. You may not copy (except as needed to install and back up the App), modify, distribute, sell, lease, sublicense, reverse-engineer, or attempt to extract the source code of the App except to the extent this restriction is prohibited by applicable law. You may not share, publish, or resell license keys, or attempt to circumvent the App’s licensing.

2. Free trial and free features

The App includes a free 14-day trial of all Nikko Pro features, starting the first time you open it. No payment details are required for the trial, and it does not convert into a paid plan automatically. When the trial ends, capturing, searching, and organizing your clipboard history remain free; Pro features (such as pasting, iCloud sync, and drag & drop) require a Nikko Pro license.

3. Purchases and our reseller

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Your purchase is also subject to Paddle’s Buyer Terms.

Nikko Pro is available as a monthly subscription, an annual subscription, or a one-time lifetime purchase. Prices are shown on our website and in the App in US dollars; applicable sales tax or VAT is calculated and added by Paddle at checkout based on your location.

4. Subscriptions

5. License keys and activation

After purchase you receive a license key by email. Each license may be activated on up to 3 Macs that you own or control; you can free an activation at any time from Nikko → Settings → Subscription → Deactivate This Mac. The App periodically verifies your license with our license server and can keep working offline for up to 14 days between checks. Lifetime licenses include all Nikko Pro features for the lifetime of the product, including updates to the current major version and later versions we make available to lifetime license holders.

6. Refunds

We offer a 14-day money-back guarantee on all purchases. See our Refund Policy for details. If a purchase is refunded or charged back, the associated license is deactivated.

7. Your content

The App captures and stores clipboard content locally on your Mac, and optionally syncs it through your private iCloud account if you enable that feature. You are solely responsible for the content you copy and store and for ensuring you have the right to do so. We never access, receive, or control your clipboard content.

8. Acceptable use

You agree not to use the App for any unlawful purpose, to store or transmit content that infringes the rights of others, or to interfere with the App’s intended operation, licensing, or security.

9. Updates

We may release updates that add, change, or remove features. The App may check for updates and offer to install them. Some updates may be required for continued license verification.

10. Intellectual property

The App, including its software, design, and branding, is owned by us and protected by intellectual-property laws. These Terms do not grant you any rights to our trademarks or branding. Apple, Mac, macOS, and iCloud are trademarks of Apple Inc.; Nikko is not affiliated with or endorsed by Apple.

11. Disclaimer of warranties

The App is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the App will be uninterrupted or error-free, or that data will never be lost. You are responsible for maintaining your own backups. Nothing in these Terms limits any rights you have under mandatory consumer-protection law.

12. Limitation of liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, arising out of or related to your use of the App. Our total liability for any claim relating to the App will not exceed the amount you paid for it in the twelve months preceding the claim.

13. Termination

These Terms remain in effect until terminated. Your license ends automatically if you materially breach these Terms, including by sharing or reselling license keys. You may stop using the App at any time by deleting it; canceling a subscription is done separately as described in section 4.

14. Governing law

These Terms are governed by the laws of Georgia (the country), without regard to its conflict-of-law rules. If you are a consumer, you also benefit from any mandatory protections of the law of your country of residence.

15. Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected by updating the “Last updated” date above. Changes do not apply retroactively to purchases already made. Your continued use of the App after changes take effect constitutes acceptance of the revised Terms.
